Moving from Business Name to Ltd: The Ultimate Guide to Upgrading Your Corporate Structure in Nigeria

May 1, 2026 · 6 min read ·By Muhammad Ibrahim·Reviewed August 25, 2026

Starting out with a Business Name (Sole Proprietorship or Partnership) is a fantastic, low-cost way to validate a business idea. But as your client base expands, your revenue grows, and you start eyeing bigger opportunities, corporate/government contracts, that simple structure can quickly become a bottleneck for you.

Upgrading your registered Business Name to a Private Limited Liability Company (Ltd.) is the natural next step for scaling. This guide walks you through the exact process, costs, and compliance steps required to successfully transition your corporate structure.

Why Upgrading to a Limited Liability Company Matters

Many entrepreneurs view a CAC upgrade as just a paperwork exercise, but it fundamentally shifts how your business operates legally and financially.

  1. The Shield of Limited Liability: With a Business Name, you and your business are legally the same entity. If the business defaults on a loan or faces a lawsuit, your personal assets like your personal bank accounts, cars, or land can all be seized to settle debts. Upgrading to a Limited Company creates a distinct legal wall. The company becomes responsible for its own debts; your personal risk is strictly limited to your unpaid share capital.
  2. Access to Institutional Capital and Bidding Power: Most Nigerian commercial banks, venture capitalists, and government ministries will not issue major loans or award high-value procurement contracts to a mere Business Name. An Ltd structure provides the transparent corporate governance that investors require before injecting capital.
  3. Infinite Corporate Lifespan (Perpetual Succession): A Business Name is legally tied to the life of its proprietor. If the owner passes away, the business effectively dissolves. A Limited Company has perpetual succession; it lives on independently. Shares can be willed to heirs or sold to investors, ensuring your brand survives for generations.

The Step-by-Step CAC Upgrade Procedure

Unlike registering a brand-new entity from scratch, upgrading requires you to formally notify the CAC so they can cross-reference and close out your old Business Name file upon the successful incorporation of your Limited Liability Company.

Here is the strategic workflow to execute this on the CAC Company Registration Portal (CRP):

1

Run a Consent and Name Availability Search

Step 1

Log into the CAC portal. Since you are converting an existing entity, you must apply for Availability and Consent. You will search for your existing name but append “Limited” or “Ltd” to it. You must upload your existing Business Name certificate (Form BN 1) during this stage to prove ownership

2

Settle Outstanding Business Name Annual Returns

Step 2

The CAC will not approve an upgrade if your existing Business Name has pending regulatory debts. Before your application is approved, you must file all outstanding Annual Returns for the Business Name from the year of registration up to the current date and pay any applicable late filing penalties.

3

Appoint Corporate Officers and Allot Shares

Step 3

Define the core structure of your new company. Under current CAMA regulations, a single individual can act as both the sole Director and sole Shareholder. You must also determine your authorized share capital (minimum ₦100,000 for standard local businesses) and distribute the percentages among your stakeholders

4

Upload Required Documents and Pay Fees

Step 4

Fill out the digital incorporation forms and upload color scans of valid government IDs (NIN, Voter’s Card, or International Passport) for all directors and shareholders. Next, pay the official CAC registration fees and the Niegria Revenue Service (NRS) stamp duties directly via Remita on the portal

5

Download Your Digital Corporate Assets

Step 5

Once reviewed and approved by a CAC registry officer, your old Business Name status will change to “Dissolved/Converted.” The portal will then generate your new electronic Certificate of Incorporation (containing your new RC Number), the Status Report, and your Memorandum and Articles of Association (MEMART)

Important Regulatory Note: Ensure all uploaded identification documents are scanned in high-resolution color. The CAC electronic portal automatically flags and rejects low-quality grayscale or black-and-white uploads, which can delay your processing time by several weeks.

Doing It Yourself vs. Expert Support

Both routes get you registered — here is what each one actually costs you.

Doing It Yourself

  • CAC portal queries and rejections can add weeks — and the reasons are not always explained.
  • Name reservations get declined for conflicts you cannot easily check yourself.
  • Unpaid annual returns silently block your application until discovered.
  • Errors in share capital or business objects are costly to correct after registration.
  • Every CAC follow-up, query, and resubmission is on you.

With Nexus Nigeria

  • A CAC-accredited agent files for you and answers queries directly with the Commission.
  • Name search and reservation done right the first time.
  • Compliance status checked upfront — no silent blockers.
  • Correct structure, objects, and share capital from day one.
  • You run your business; we send you updates on WhatsApp.

Post-Upgrade Action Checklist

Getting your new certificate is just the halfway point. To fully operationalize your new corporate structure, you must complete the following updates within 30 days of incorporation:

When upgrading a Business Name to a Private Limited Liability Company under CAMA 2020, the Corporate Affairs Commission (CAC) requires a formal Letter of Consent / Proprietor’s Resolution. This document officially permits the use of the identical name for the new company and state the intent to dissolve/absorb the old business name.
